Karen Crew is a Member of Corporate, Banking &; Finance and Real Estate Finance Practice Groups. Concentrates practice in complex financing transactions. Karen Crew Represents institutional lenders, middle-market lenders, and corporate borrowers in connection with domestic and cross-border secured and unsecured credit facilities, including syndicated loans, acquisition and mezzanine financings, corporate restructuring, workouts, and DIP facilities. Represents non-traditional lenders in private secured debt investments, as well as lenders and developers in workouts of construction and development loans. Advises buyers and sellers in merger and acquisition transactions in a variety of industries, including health care services, manufacturing, media, and telecommunications. Karen Crew advises companies in general corporate and commercial transactions, including corporate formation and the negotiation and preparation of distribution and sale agreements, licensing agreements, service agreements, commercial real estate leases, shareholder agreements, stock redemptions, and employment contracts. Prior experience includes practice with a multi-national law firm in New York as an attorney in the Banking and Restructuring Group. Prior experience also includes representation of project sponsors, lenders, and investors in the development, financing, and construction of domestic and international capital intensive projects, including thermal energy generation facilities, oil refineries and other major infrastructure projects.
